Terms of Service

The rules for using HippoCorner on the web.

Last updated: August 22, 2026

These Terms of Service (“Terms”) are an agreement between you and Illuminating Software LLC (“we”, “us”) governing use of www.hippocorner.com, hippocorner.com, and app.hippocorner.com (the “Service”).

By creating an account, accepting an invitation, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

HippoCorner is a multi-tenant software platform for business operations. The current product includes installation, tenant administration, authentication, roles and permissions, platform settings, object storage, and messaging integrations. Additional ERP modules (such as inventory, accounting, or CRM) may be added over time.

Important: HippoCorner is software only. We are not your accountant, lawyer, bank, or registered agent. The Service does not provide legal, tax, or financial advice. Records and reports depend on data you and your administrators enter.

2. Eligibility and accounts

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. The Service is offered primarily for organizations in the United States and is currently provided in English.

Access is by invitation or administrator provisioning. There is no public self-service tenant signup. You must provide accurate registration information, keep your password confidential, and notify us promptly if you suspect unauthorized access. You are responsible for activity under your account.

We may suspend or terminate accounts that violate these Terms or present security or abuse risks.

3. Tenants and administrators

A “Tenant” is an organization workspace on the Service. Root operators can create tenants and tenant administrators. Tenant administrators manage users and settings inside their tenant, subject to permissions.

If you are a Root or Tenant Admin, you represent that you have authority to bind the organization you administer, and that you will only grant access to people who should see that tenant’s data.

4. Your content

You retain ownership of the data you and your tenant enter (“Your Content”), including branding files and operational records. You grant us a limited license to host, process, back up, and display Your Content solely to operate and improve the Service.

You represent that you have the right to upload Your Content and that it does not violate law or third-party rights.

5. Acceptable use

You agree not to:

  • Use the Service for unlawful, fraudulent, or deceptive activity
  • Attempt to access another tenant’s data without authorization
  • Probe, scan, or overload our systems, or reverse engineer the Service except where allowed by law
  • Upload malware or content that is illegal or infringing
  • Misrepresent your identity or your organization
  • Resell or provide the Service as a managed product for third parties without our written consent

6. Integrations and third-party services

The Service may use object storage, email and SMS delivery, and other infrastructure you or we configure. Credentials you store for those integrations are used to operate the features you enable. Third-party terms and privacy policies govern their processing. We are not responsible for third-party services we do not control.

7. Intellectual property

The Service, including software, design, documentation, and the HippoCorner name, mascot, and branding, is owned by Illuminating Software LLC or its licensors. These Terms do not grant you rights to our trademarks or source code except the limited right to use the Service as provided.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be error-free or uninterrupted, or that it will meet your specific operational, accounting, or legal requirements.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ILLUMINATING SOFTWARE LLC AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

10. Indemnity

You will defend and indemnify Illuminating Software LLC against claims arising from Your Content, your organization’s use of the Service, your misuse of the Service, or your violation of these Terms or applicable law.

11. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, if required by law, or if we discontinue the Service. Provisions that by nature should survive (including ownership, disclaimers, limitations, and indemnity) will survive termination.

12. Changes to the Service or Terms

We may improve, change, or discontinue features. We may update these Terms by posting a revised version with a new “Last updated” date. Material changes may be communicated in-product or by email. Continued use after changes constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the United States and the State of Utah, excluding conflict-of-law rules, unless mandatory consumer protections in your jurisdiction provide otherwise. Courts located in Utah will have exclusive jurisdiction, except where prohibited by law.
